Terms and Conditions of Trading

Niton Training 2001 Limited is a Specialist Security Trainer and Consultancy Company with Employers Liability Insurance of £10,000,000, Professional Indemnity Insurance of £1,000,000, Public Liability of £5,000,000 and Product Liability of £5,000,000
“Client” means the organisation booking or paying for a Delegate.
“Delegate” means a person attending a NITON TRAINING 2001 LIMITED training course.
“Charge” means the fee (if any) payable by the Client to the NITON TRAINING 2001 LIMITED in consideration of the NITON TRAINING 2001 LIMITED providing the Course.
“Course” means the open training course provided by the NITON TRAINING 2001 LIMITED and booked by the Client in accordance with these Terms.
“Course Portfolio” means the NITON TRAINING 2001 LIMITED course prospectus.
“Location” means the venue at which the Course is to be held, further details of which are set out in on the NITON TRAINING 2001 LIMITED website or such other location deemed appropriate.
“Terms” means this set of terms and conditions.
This means everyone having the same chances to do what they can. Some people may need extra help to get the same chances.
NITON TRAINING 2001 LIMITED takes its legal obligations under the Race Relations Act 1976 as amended to promote equality of opportunity and good race relations seriously. Each delegate will be expected to abide by the NITON TRAINING 2001 LIMITED’s Equal Opportunity Policy (copies of which are available on request) at all times while at the Location and any behaviour which is deemed by the NITON TRAINING 2001 LIMITED in its absolute discretion to be a breach of that policy will result in that Delegate immediately being removed from the Course and the behaviour in question being reported to the Client.
Bookings must be confirmed by the client on an official the NITON TRAINING 2001 LIMITED Booking Form. A commitment will be required from the client. This will take the form of either a valid purchase order or up-front payment. Once the above are received and processed, the booking will be confirmed by the NITON TRAINING 2001 LIMITED in writing. The number of delegates and their names must be given at the time of booking. The NITON TRAINING 2001 LIMITED will take provisional bookings but will incur no liability in respect of them. Either party may cancel such bookings before they are confirmed in the manner above.
Prices & Payments
Some NITON TRAINING 2001 LIMITED courses are chargeable to some or all clients. These are clearly marked in the corporate Course Portfolio. The Client will be notified of any charges at the time of booking and this will be confirmed in writing. Any relevant duties or taxes including VAT will be added to the cost of all sales at the prevailing rate. Where relevant, clients will be invoiced directly by the NITON TRAINING 2001 LIMITED and should render payment within 28 days to the address shown on the invoice.
Whether or not a charge is to be levied for a NITON TRAINING 2001 LIMITED course, cancellation fees will apply once the NITON TRAINING 2001 LIMITED has confirmed the booking. The fee is based upon the price of the course. Notice of cancellation must be made by letter or email. If the Client advises us of a cancellation or postponement more than 28 days before the planned start date, no charge will apply. After this date, the following sliding scale of charges will be applied:
Within 28 days of the course start date = 100% of course fee.
If a Delegate fails to attend a Course, and the Client has failed to notify the NITON TRAINING 2001 LIMITED in writing, the Client will be charged the full fee for the Course.
Where applicable, the NITON TRAINING 2001 LIMITED will accept a substitute delegate from the client providing they have the relevant experience and/or qualifications (if needed for the particular course). In order for the substitute to be accepted, the NITON TRAINING 2001 LIMITED must be informed in writing not later than 09:00 on the last working day prior to the day of arrival, in order that it may make appropriate changes to accommodation bookings and security arrangements. Please note that it is not the NITON TRAINING 2001 LIMITED’s intention to profit from unavoidable late cancellations.
Accommodation and Travel Costs
When accommodation is included in a training course, the NITON TRAINING 2001 LIMITED will endeavour to locate all delegates on-site but reserves the right at its sole discretion to accommodate them off-site. Where delegates are accommodated off-site, the NITON TRAINING 2001 LIMITED will provide transport or cover the cost of transport from the accommodation to the course location. All other transport costs for delegates will remain the responsibility of the Client. As such, any taxi costs or other fares will be met by the individual and not NITON TRAINING 2001 LIMITED.
The Client shall ensure that its Delegates have attained any pre-requisite standards, as set out in the course literature, prior to attending the Course. The NITON TRAINING 2001 LIMITED reserves the right to refuse access to the Course at any time at its sole discretion if it appears to NITON TRAINING 2001 LIMITED that a Delegate has not attained the pre-requisite standards for the Course in question.
Equipment & Belongings
The NITON TRAINING 2001 LIMITED will not accept liability for loss of any equipment or other belongings. Delegates are responsible for the care of such items and should ensure these are secured adequately when left unattended. Delegates are responsible for the safekeeping and appropriate use of items loaned to them. Damage caused by inappropriate use or loss of such items will be charged to the delegate.
Health & Safety
Each delegate will be expected to abide by the NITON TRAINING 2001 LIMITED’s Health & Safety Policy (copies of which are available on request) at all times while at the Location and any behaviour which is deemed by the NITON TRAINING 2001 LIMITED in its absolute discretion to be a breach of that policy will result in that Delegate immediately being removed from the Course and the behaviour in question being reported to the Client.
If required badges will be issued to all delegates and must be worn prominently at all times on all NITON TRAINING 2001 LIMITED sites. The NITON TRAINING 2001 LIMITED reserves the right to refuse access to any Delegate who does not comply with the security procedures in place at the relevant Location.
Delegates should respect the security classification of any materials received whilst on the NITON TRAINING 2001 LIMITED courses and manage them appropriately. Any data received by the NITON TRAINING 2001 LIMITED from any data provider will be managed in accordance with the General Data Protection Regulations 2018 (GDPR) and NITON TRAINING 2001 LIMITED’s own GDPR policy.
Confidentiality & Data Security
Delegates should respect the security classification of any materials received whilst on the NITON TRAINING 2001 LIMITED courses and store them appropriately. Any personal data received by the NITON TRAINING 2001 LIMITED from delegates will be stored in accordance with its internal policy and the Data Protection Act.
Right to Dismiss
The NITON TRAINING 2001 LIMITED reserves the right, at its sole discretion, to send back to the Client, any delegate from any NITON TRAINING 2001 LIMITED site on grounds of misconduct which includes any inappropriate language or behaviour or upon failure of any mandatory section of any course.
The provision of training may be totally or partially suspended by the NITON TRAINING 2001 LIMITED to the extent that delivery is prevented through any circumstance beyond its reasonable control. The NITON TRAINING 2001 LIMITED will not be liable for costs incurred by the delegate.
The NITON TRAINING 2001 LIMITED retains its intellectual property rights to all of its materials, documents and software, none of which may be reproduced, modified, amended, stored in any retrieval system or transmitted, in any form or by any means, otherwise than for the purposes of the NITON TRAINING 2001 LIMITED training course for which its use was intended, without the prior written permission of the NITON TRAINING 2001 LIMITED.
No variation of these Terms will be valid unless evidenced in writing and signed by a duly authorised officer of the NITON TRAINING 2001 LIMITED. These terms also supersede any written or verbal communication between the parties.
